Terms of Service
1. Introduction
These Terms of Service (hereinafter "Terms") govern your access to and use of the Stellary platform, including the website stellary.co, the web application, APIs, and all related services (hereinafter "the Service"). The Service is published by Stellary.
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
Stellary is a project management and collaboration platform enhanced with artificial intelligence features. The Service includes, but is not limited to:
- Project boards and task management (Kanban, Gantt, lists)
- Team collaboration tools (workspaces, organizations, permissions)
- AI-powered features: Project Wizard, AI Agents, automated suggestions
- Knowledge base and document management
- MCP (Model Context Protocol) integration
- API access for developers
- Cockpit dashboards and reporting
Stellary reserves the right to modify, improve, or discontinue any feature of the Service at any time, with reasonable notice when practicable.
3. Account Creation and Management
3.1 Registration
To use the Service, you must create an account by providing accurate, complete, and current information. You must be at least 16 years of age. If you are under 18, you may only use the Service with the consent of a parent or legal guardian.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Stellary immediately at support@stellary.co if you suspect any unauthorized access to your account.
3.3 Account Types
The Service offers individual accounts and organization accounts. Organization administrators are responsible for managing members, permissions, and billing within their organization. Each workspace within an organization may have its own access controls and settings.
4. User Obligations
By using the Service, you agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws
- Not attempt to gain unauthorized access to the Service or its infrastructure
- Not interfere with or disrupt the Service or servers connected to the Service
- Not reverse engineer, decompile, or disassemble any part of the Service
- Not use the Service to transmit malware, spam, or any harmful content
- Not use automated means to access the Service except through our official API
- Not resell or redistribute the Service without prior written authorization
- Respect the intellectual property rights of Stellary and other users
Violation of these obligations may result in immediate suspension or termination of your account.
5. AI Features
The Service includes artificial intelligence features powered by third-party providers (including OpenAI). By using AI features, you acknowledge and agree that:
- AI-generated content is provided "as is" and may contain errors or inaccuracies
- You are responsible for reviewing and validating any AI-generated output before relying on it
- Your prompts and project data may be sent to third-party AI providers for processing
- Stellary does not guarantee the availability, accuracy, or completeness of AI features
- AI features may be subject to usage limits depending on your subscription plan
Stellary processes AI interactions in accordance with its Privacy Policy. No AI provider is granted training rights on your data through Stellary's use of their services.
6. User Content
You retain full ownership of all content you upload, create, or transmit through the Service ("User Content"). By using the Service, you grant Stellary a limited, non-exclusive, worldwide license to store, process, and display your User Content solely for the purpose of providing and improving the Service.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights or violate any applicable law.
Stellary does not claim ownership of your User Content and will not use it for advertising or sell it to third parties. Upon termination of your account, you may request an export of your data.
7. Intellectual Property
The Service, including its source code, design, logos, trademarks, documentation, and all associated intellectual property, is owned by Stellary and protected by applicable intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. The Stellary name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Stellary.
8. Subscriptions and Pricing
8.1 Plans
The Service offers free and paid subscription plans. Features, usage limits, and pricing for each plan are described on our website and may be updated from time to time. Stellary will notify existing subscribers of any pricing changes at least 30 days in advance.
8.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor. By subscribing to a paid plan, you authorize Stellary to charge your payment method through Stripe for the applicable fees. All amounts are stated in euros (EUR) and are exclusive of applicable taxes unless otherwise indicated.
8.3 Free Trial
Stellary may offer a free trial period for paid plans. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
9. Cancellation and Refunds
9.1 Cancellation
You may cancel your paid subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid.
9.2 Refunds
Fees are generally non-refundable except where required by applicable law. If you believe you are entitled to a refund, please contact us at support@stellary.co. Refund requests will be evaluated on a case-by-case basis.
9.3 Downgrade
If you downgrade your plan, the change takes effect at the next billing cycle. You may lose access to features or storage capacity associated with your previous plan. Stellary is not responsible for any data loss resulting from a downgrade.
10. Account Termination
10.1 Termination by You
You may delete your account at any time from your account settings. Upon deletion, your data will be permanently removed within 30 days, except where retention is required by law.
10.2 Termination by Stellary
Stellary may suspend or terminate your account immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. In such cases, you will not be entitled to any refund of prepaid fees.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Stellary may retain anonymized and aggregated data for analytics purposes. Sections of these Terms that by their nature should survive termination will remain in effect.
11. Service Availability
Stellary strives to maintain the Service available 24/7 but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Stellary will make reasonable efforts to notify users of planned maintenance in advance.
Stellary shall not be liable for any downtime, data loss, or damages resulting from service interruptions, whether scheduled or unscheduled.
12. Data Protection
Stellary processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable French data protection laws. For detailed information about how we collect, use, and protect your data, please refer to our Privacy Policy.
All data is hosted on European infrastructure (OVH, France) and encrypted at rest (AES-256) and in transit (TLS 1.3).
13. Third-Party Services
The Service integrates with third-party services including but not limited to Stripe (payments), OpenAI (AI features), Sentry (error monitoring), and OVH (hosting). Your use of such third-party services is subject to their respective terms and privacy policies.
Stellary is not responsible for the availability, accuracy, or content of third-party services, and shall not be liable for any damages arising from your use of such services.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Stellary shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
In any event, Stellary's total cumulative liability under these Terms shall not exceed the total amount paid by you to Stellary during the twelve (12) months immediately preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, even if Stellary has been advised of the possibility of such damages.
15. Warranty Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Stellary does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Service at your own risk.
16. Indemnification
You agree to indemnify, defend, and hold harmless Stellary and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit or transmit through the Service
17. Beta Features
Stellary may offer beta or experimental features. These features are provided "as is" without any warranty and may be modified, suspended, or discontinued at any time without notice. Beta features may contain bugs or errors and are not intended for production use unless explicitly stated.
By using beta features, you acknowledge the additional risks and agree that Stellary shall have no liability arising from your use of such features.
18. Modifications to Terms
Stellary reserves the right to modify these Terms at any time. Material changes will be communicated at least 30 days before they take effect, via email or through a notice within the Service. Your continued use of the Service after the effective date of the changes constitutes acceptance of the modified Terms.
If you do not agree with the modified Terms, you must stop using the Service and may request account deletion.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. The provisions of the United Nations Convention on Contracts for the International Sale of Goods do not apply.
In the event of a dispute arising from these Terms or the use of the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, the competent courts of Paris, France shall have exclusive jurisdiction.
If you are a consumer residing in the European Union, you may also submit a dispute to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
20. Force Majeure
Stellary shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or cyberattacks.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the intended economic and legal purpose of the original provision.
22. Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Stellary regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
